Welcome to VidQuo Pro ("VidQuo," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the VidQuo website, applications, software, and related services (collectively, the "Services").
By creating an account or using VidQuo, you agree to these Terms. If you do not agree, please do not use the Services.

VidQuo exists to empower creative professionals by making professional quote creation, project pricing, and business management simple, transparent, and scalable.
We believe creators deserve tools that help them confidently communicate the value of their work while building sustainable businesses.

To use VidQuo, you must:
Be at least 18 years old (or the age of majority in your jurisdiction)
Have the legal authority to enter into binding agreements
Provide accurate account information
Maintain the security of your login credentials
You are responsible for all activity that occurs under your account.

Keep your account information current.
Protect your password.
Notify us immediately of unauthorized access.
Use the Services only for lawful business purposes.
We reserve the right to suspend or terminate accounts involved in fraudulent, abusive, or illegal activity.

VidQuo offers subscription-based access with features varying by plan.
Your subscription may include:
Quote generation
Client management
PDF exports
Shareable quote links
Analytics
Educational resources
Mobile access (where available)
Additional premium features
Features may change over time as the platform evolves.

Paid subscriptions are billed in advance on a recurring basis unless otherwise stated.
By subscribing, you authorize VidQuo (or our payment processor) to charge your selected payment method.
Failure to pay may result in suspension or cancellation of your account.

You may cancel your subscription at any time through your account settings.
Your subscription will remain active until the end of your current billing period.
Unless required by law, payments already made are non-refundable.

You retain ownership of:
Client information
Quotes
Project information
Business settings
Uploaded files
VidQuo does not claim ownership of your business data.

By using VidQuo, you grant us a limited license to store, process, display, and transmit your information solely for the purpose of providing and improving the Services.

VidQuo—including its software, branding, algorithms, user interface, educational content, templates, and documentation—is protected by intellectual property laws.
You may not:
Copy the platform
Reverse engineer the software
Resell the Services
Create competing products using VidQuo's proprietary systems
Remove copyright notices

You agree not to:
Use VidQuo for unlawful purposes
Attempt unauthorized access to our systems
Upload malicious software
Interfere with platform performance
Use the Services to harass, deceive, or defraud others
Share accounts outside your licensed user limits

VidQuo provides tools to help estimate project pricing.
You are solely responsible for:
Reviewing every quote before sharing it.
Ensuring pricing reflects your business.
Confirming project details.
Complying with applicable tax and legal requirements.
VidQuo does not guarantee that every quote will result in a contract or accurately reflect every production circumstance.

Client acceptance through VidQuo indicates the client's intent to proceed under the presented quote and associated terms.
However, VidQuo is not a party to any agreement between you and your clients.
Any disputes regarding services, payments, deliverables, or project outcomes remain solely between you and your client.

We strive to provide reliable service but cannot guarantee uninterrupted availability.
Maintenance, updates, outages, or events beyond our control may temporarily affect access.

Some features may be released as beta versions.
These features may change, be discontinued, or experience unexpected issues.

To the fullest extent permitted by law, VidQuo shall not be liable for:
Lost profits
Lost contracts
Lost business opportunities
Indirect damages
Consequential damages
Data loss caused by events beyond our reasonable control
Our maximum liability shall not exceed the amount paid by you to VidQuo during the twelve (12) months preceding the claim.

You agree to defend and indemnify VidQuo against claims arising from:
Your misuse of the Services
Your violation of these Terms
Your agreements with clients
Content you upload
Your violation of applicable laws

We may suspend or terminate accounts that:
Violate these Terms
Engage in fraudulent activity
Attempt to compromise platform security
Fail to pay subscription fees
You may terminate your account at any time.

We continuously improve VidQuo.
Features, pricing, and Services may evolve over time. We will provide reasonable notice when material changes affect your subscription.

We may update these Terms periodically.
Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

These Terms shall be governed by the laws of the State of Minnesota, United States, without regard to conflict of law principles.
